Minimum Requirements:
  • College degree and/or Paralegal certificate 
  • 3 years Corporate paralegal experience in a law firm or professional services organization
  • Experience using legal software 
  • Excellent communication and interpersonal skills 
  • Strong organizational and attention to detail 
  • Must be able to handle large volumes of work associated with each case and transaction
  • Must be able to work effectively in a fast-paced environment
Preferred Requirements:
  • Experience with conducting Blue Sky filings 
  • Proficient in Word, Excel and Outlook
  • Experience with conducting FINRA (Financial Industry Regulatory Authority) flings 

What will your day look like?
You will be responsible for assisting attorneys with preparing and filing Articles of Incorporation/Organization, state qualifications, dissolutions, EINs and other organizational and related documents. This will include research to support a legal proceeding, formulate a defense, or to initiate legal action. Your research will include coordinating UCC searches and preparing UCC filings, summonses, complaints, motions, and subpoenas.

You will also prepare schedules, documents, spreadsheets, closing statements, funds flows for transactions, organize documents and closing books in connection with corporate transactions such as financings, mergers and acquisitions. In addition, some of your responsibilities will include drafting option grants, stock option agreements, and maintain stock and stock option ledgers and company minute books.
