Sr Paralegal - Corporate

What will your day look like?
You will be responsible for assisting attorneys with preparing and filing Articles of Incorporation/Organization, state qualifications, dissolutions, EINs and other organizational and related documents. This will include research to support a legal proceeding, formulate a defense, or to initiate legal action. Your research will include coordinating UCC searches and preparing UCC filings, summonses, complaints, motions, and subpoenas.
You will also prepare schedules, documents, spreadsheets, closing statements, organize documents and closing books in connection with corporate transactions such as financing, and mergers and acquisitions. In addition, some of your responsibilities will include drafting option grants, stock option agreements, and maintain stock and stock option ledgers and company minute books.

- Bachelor’s Degree and/or Paralegal Certificate
- 8 years’ experience as a paralegal supporting a Corporate practice group
- Private company experience
- Strong Blue Sky research skills
- Experience with entity formation and qualification
Preferred Requirements:
- Strong skills in Microsoft Word, Excel and Outlook
- Large firm experience
